Statement of Rights, Terms, Service and Responsibilities

Acceptance of Agreement
This Agreement is accepted upon your use of the Website and is further affirmed by you becoming a Member of the Service. This Agreement constitutes the entire agreement between you and riinu.com and/or riinu llc. (riinu) regarding the use of the Website and/or the Service. riinu, llc., riinu.com, and riinu are trademarks of riinu, llc. The failure of riinu to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Please contact us with any questions regarding this Agreement.

Accepting the Terms of Service
The Terms constitute the whole legal agreement between you and riinu and govern your use of the Services.

Use of riinu’s products, software, services and web sites referred to collectively as the “Services” in this document and excluding any services provided to you by riinu under a separate written agreement is subject to the terms of a legal agreement between you and riinu. “riinu” means riinu.com and/or riinu, llc., whose principal place of business is 7800 E. Lincoln Drive, Scottsdale, Arizona 85250, United States of America. riinu, llc. is a business entity registered with the state of Arizona.

In order to use the Services, you must first agree to the Terms. You may not use the Services if you do not accept the Terms.

You can accept the Terms by:

(A) Clicking to accept or agree to the Terms, where this option is made available to you by riinu in the user interface for any Service; or

(B) By actually using the Services. In this case, you understand and agree that riinu will treat your use of the Services as acceptance of the Terms from that point onwards.

You may not use the Services and may not accept the Terms if you are a person barred from receiving the Services under the laws of the United States or other countries including the country in which you are a resident or from which you use the Services.

You agree that riinu may provide you with notices, including those regarding changes to the Terms, by email, regular mail, or postings on the Services.

You agree that if riinu does not exercise or enforce any legal right or remedy which is contained in the Terms (or which riinu has the benefit of under any applicable law), this will not be taken to be a formal waiver of riinu’s rights and that those rights or remedies will still be available to riinu.

If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms is invalid, then that provision will be removed from the Terms without affecting the rest of the Terms. The remaining provisions of the Terms will continue to be valid and enforceable.

No other person or company shall be third party beneficiaries to the riinu Terms.

The Terms, and your relationship with riinu under the Terms, shall be governed by the laws of the State of Arizona without regard to its conflict of laws provisions. You and riinu agree to submit to the exclusive jurisdiction of the courts located within the County of Maricopa, Arizona, to resolve any legal matter arising from the Terms. Notwithstanding this, you agree that riinu shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.

Before you continue, you should print off or save a local copy of the Universal Terms for your records.

Services by riinu
riinu is constantly innovating in order to provide the best possible experience for its users. You acknowledge and agree that the form and nature of the Services which riinu provides may change from time to time without prior notice to you.

As part of this continuing innovation, you acknowledge and agree that riinu may stop (permanently or temporarily) providing the Services (or any features within the Services) to you or to users generally at riinu’s sole discretion, without prior notice to you. You may stop using the Services at any time. You do not need to specifically inform riinu when you stop using the Services.

You acknowledge and agree that if riinu disables access to your account, you may be prevented from accessing the Services, your account details, or any files or other content which is contained in your account.

You acknowledge and agree that while riinu may not currently have set a fixed upper limit on the number of transmissions or actions you may send, receive or post through the Services or on the amount of storage space used for the provision of any Service, such fixed upper limits may be set by riinu at any time, at riinu’s discretion.

Content in the Services
All information (such as data files, written text, computer software, music, audio files or other sounds, photographs, videos or other images) which you may have access to as part of, or through your use of, the Services are the sole responsibility of the person from which such content originated. All such information is referred to below as the “Content”.

You should be aware that Content presented to you as part of the Services, including but not limited to advertisements in the Services and sponsored Content within the Services may be protected by intellectual property rights which are owned by the sponsors or advertisers who provide that Content to riinu (or by other persons or companies on their behalf). You may not modify, rent, lease, loan, sell, distribute or create derivative works based on this Content (either in whole or in part) unless you have been specifically approved by riinu or by the owners of that Content, in a separate agreement.
riinu reserves the right (shall have no obligation but will make every effort) to pre-screen, review, flag, filter, modify, refuse or remove any or all Content on the site. In addition, there are commercially available services and software to limit access to material that you may find objectionable.

You understand that by using the Services you may be exposed to Content that you may find offensive, indecent or objectionable and that, in this respect, you use the Services at your own risk. All efforts will be made by riinu to meet acceptable community standards.

You agree that you are solely responsible for (and that riinu has no responsibility to you or to any third party for) any Content that you create, post, transmit, or display while using the Services and for the consequences of your actions (including any loss or damage which riinu may suffer) by doing so.

Proprietary rights and protection
riinu, llc. owns and retains all proprietary rights in the Website and the Service (riinu.Com). The Website contains copyrighted material, trademarks, and other proprietary information of riinu and its licensors. Except for that information which is in the public domain or for which you have been given written permission, you may not copy, modify, publish, transmit, distribute, perform, display, or sell any such proprietary information.

You own all of the content and information you post on riinu, and you can control how it is shared through your privacy and application settings.

For content that is covered by intellectual property rights, like photos and videos ("IP content"), you specifically give us the following permission, subject to your privacy and application settings: you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any IP content that you post on or in connection with riinu ("IP License"). This IP License ends when you delete your IP content or your account unless you’re content has been shared with others, and they have not deleted it.

When you delete IP content, it is deleted in a manner similar to emptying the recycle bin on a computer. However, you understand that removed content may persist in backup copies for a reasonable period of time (but will not be available to others).

When you publish content or information using the "Public" setting, it means that you are allowing everyone, including people off of riinu, to access and use that information, and to associate it with you (i.e., your name and profile picture).

You acknowledge and agree that riinu (or riinu’s licensors) own all legal right, title and interest in and to the Services, including any intellectual property rights which subsist in the Services (whether those rights happen to be registered or not, and wherever in the world those rights may exist). You further acknowledge that the Services may contain information which is designated confidential by riinu and shall not be disclosed without riinu’s prior written consent.

Unless you have agreed otherwise in writing with riinu, nothing in the Terms gives you a right to use any of riinu’s trade names, trade marks, service marks, logos, domain names, and other distinctive brand features.

riinu acknowledges and agrees that it obtains no right, title or interest from you (or your licensors) under these Terms in or to any Content that you submit, post, transmit or display on, or through, the Services, including any intellectual property rights which subsist in that Content (whether those rights happen to be registered or not, and wherever in the world those rights may exist). Unless you have agreed otherwise in writing with riinu, you agree that you are responsible for protecting and enforcing those rights and that riinu has no obligation to do so on your behalf.

You agree that you shall not remove, obscure, or alter any proprietary rights notices (including copyright and trade mark notices) which may be affixed to or contained within the Services.

You agree that in using the Services, you will not use any trade mark, service mark, trade name, logo of any company or organization in a way that is likely or intended to cause confusion about the owner or authorized user of such marks, names or logos.

Content license
You retain copyright and any other rights you already hold in Content which you submit, post or display on or through, the Services. By submitting, posting or displaying the content you give riinu a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to reproduce, adapt, modify, translate, publish, publicly perform, publicly display and distribute any Content which you submit, post or display on or through, the Services. This license is for the sole purpose of enabling riinu to display, distribute and promote the Services.

You agree that this license includes a right for riinu to make Content available to other companies, organizations or individuals with whom riinu has relationships for the provision of syndicated services, and to use such Content in connection with the provision of those services.

You understand that riinu, in performing the required technical steps to provide the Services to our users, may (a) transmit or distribute your Content over various public networks and in various media; and (b) make such changes to your Content as are necessary to conform and adapt that Content to the technical requirements of connecting networks, devices, services or media. You agree that this license shall permit riinu to take these actions.

You confirm and warrant to riinu that you have all the rights, power and authority necessary to grant the above license.

Software updates
The Software which you use may automatically download and install updates from time to time from riinu. These updates are designed to improve, enhance and further develop the Services and may take the form of bug fixes, enhanced functions, new software modules and completely new versions. You agree to receive such updates (and permit riinu to deliver these to you) as part of your use of the Services.

Safety
We do our best to keep riinu safe, but we cannot guarantee it. We need your help to do that, which includes the following commitments:

No one under the age 13 years of age will utilize or access the services/content of riinu.

You will not send or otherwise post unauthorized commercial communications (such as spam) on riinu.

You will not collect users' content or information, or otherwise access riinu, using automated means (such as harvesting bots, robots, spiders, or scrapers) without our permission.

You will not engage in unlawful multi-level marketing, such as a pyramid scheme, on riinu.

You will not upload viruses or other malicious code.

You will not solicit login information or access an account belonging to someone else.

You will not bully, intimidate, or harass any user.

You will not post content that: is hateful, threatening, or pornographic; incites violence; or contains nudity or graphic or gratuitous violence.

You will not develop or operate a third-party application containing alcohol-related or other mature content (including advertisements).

You will not offer any contest, giveaway, or sweepstakes ("promotion") on riinu without our prior written consent. If we consent, you take full responsibility for the promotion, and will follow our Promotions Guidelines and all applicable laws.

You will not use riinu to do anything unlawful, misleading, malicious, or discriminatory.

You will not do anything that could disable, overburden, or impair the proper working of riinu, such as a denial of service attack.

You will not facilitate or encourage any violations of the riinu Terms of Service.
Ending your relationship with riinu
The Terms will continue to apply until terminated by either you or riinu.
If you want to terminate your legal agreement with riinu, you may do so by (a) notifying riinu at any time and/or (b) closing your account(s) for all of the Services which you use, where riinu has made this option available to you. Your notice should be sent, in writing, to riinu’s address which is set out in Section 2 of these Terms.

riinu may at any time, terminate its legal agreement with you if:

You have breached any provision of the Terms (or have acted in a manner which clearly shows that you do not intend to, or are unable to comply with the provisions of the Terms); or
riinu is required to do so by law (for example, where the provision of the Services to you is, or becomes, unlawful); or

The partner with whom riinu offered the Services to you has terminated its relationship with riinu or ceased to offer the Services to you; or

riinu is transitioning to no longer providing the Services to users in the county, state, or country in which you are a resident or from which you use the service; or

The provision of the Services to you by riinu is, in riinu’s opinion, no longer commercially viable.

Nothing in this Section shall affect riinu’s rights regarding provision of Services.

When these Terms come to an end, all of the legal rights, obligations and liabilities that you and riinu have benefited from, been subject to (or which have accrued over time whilst the Terms have been in force) or which are expressed to continue indefinitely, shall be unaffected by this cessation, and the provisions shall continue to apply to such rights, obligations and liabilities indefinitely.
Warranties
We try to keep riinu.com up, bug-free, and safe, but you use it at your own risk. We are providing riinu "as is" without any express or implied warranties including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that riinu will be safe or secure. riinu is not responsible for the actions, content, information, or data of third parties, and you release us, our directors, officers, employees, and agents from any claims and damages, known and unknown, arising out of or in any way connected with any claim you have against any such third parties. In such cases, riinu’s liability will be limited to the fullest extent permitted by applicable law.

Nothing in these terms shall exclude or limit riinu’s warranty or liability for losses which may not be lawfully excluded or limited by applicable law. Some jurisdictions do not allow the exclusion of certain warranties or conditions or the limitation or exclusion of liability for loss or damage caused by negligence, breach of contract or breach of implied terms, or incidental or consequential damages. Accordingly, only the limitations which are lawful in your jurisdiction will apply to you and our liability will be limited to the maximum extent permitted by law.

You expressly understand and agree that your use of the services is at your sole risk and that the services are provided "as is" and “as available.”

In particular, riinu, its subsidiaries and affiliates, and its licensors do not represent or warrant to you that:

Your use of the services will meet your requirements,

To the best of capabilities your use of the services will be uninterrupted, timely, secure or free from error,

Any information obtained by you as a result of your use of the services will be accurate or reliable, and

That defects in the operation or functionality of any software provided to you as part of the services will be corrected.

Any material downloaded or otherwise obtained through the use of the services is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or other device or loss of data that results from the download of any such material.

No advice or information, whether oral or written, obtained by you from riinu or through or from the services shall create any warranty not expressly stated.

riinu further expressly disclaims all warranties and conditions of any kind, whether express or implied, including, but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose, and non-infringement.
Limitation of liability
You expressly understand and agree that riinu, its subsidiaries and affiliates, and its licensors shall not be liable to you for:

Any direct, indirect, incidental, special consequential or exemplary damages which may be incurred by you, however caused and under any theory of liability. This shall include, but not be limited to, any loss of profit (whether incurred directly or indirectly), any loss of goodwill or business reputation, any loss of data suffered, cost of procurement of substitute goods or services, or other intangible loss;

Any loss or damage which may be incurred by you, including but not limited to loss or damage as a result of:

Any reliance placed by you on the completeness, accuracy or existence of any advertising, or as a result of any relationship or transaction between you and any advertiser, sponsor, and/or business member whose advertising appears on the services;

Any advise, guidance, counsel, direction, instruction, or information received by you, from a member “coach” (to include both member coach(s) and/or business member coach(s));

Any changes which riinu may make to the services, or for any permanent or temporary cessation in the provision of the services (or any features within the services);

The deletion of, corruption of, or failure to store, any content and other communications data maintained or transmitted by, to, or through your use of the services;

Your failure to provide riinu with accurate account information;

Your failure to keep your password or account details secure and confidential;

The limitations on riinu’s liability to you shall apply whether or not riinu has been advised of or should have been aware of the possibility of any such losses arising.

By participating in any online/offline riinu event, you agree to release and hold riinu harmless from any and all losses, damages, rights, claims, and actions of any kind including, without limitation, personal injuries, death, and property damage, either directly or indirectly related to or arising from your participation in any such online/offline riinu event.

Copyright and trade mark policies
It is riinu’s policy to respond to notices of alleged copyright infringement that comply with applicable international intellectual property law (including, in the United States, the Digital Millennium Copyright Act) and to terminating the accounts of repeat infringers.
Advertisements
Some of the Services are supported by advertising revenue and may display advertisements and promotions. These advertisements may be targeted to the content of information stored on the Services, queries made through the Services or other information.

The manner, mode, and extent of advertising by riinu on the Services are subject to change without specific notice.

In consideration for riinu granting you access to and use of the Services, you agree that riinu may place such advertising on the Services.

Non Commercial Use by Members
The Website is for the personal use of Members only and may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by the management of riinu.

Illegal and/or unauthorized use of the Website, including collecting usernames and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the Website will be investigated and if deemed appropriate prosecuted to the full extent of the law.

Commercial advertisements, affiliate links, and other forms of solicitation may be removed from member profiles without notice and may result in termination of membership privileges. Appropriate legal action will be taken by riinu for any illegal or unauthorized use of the Website.

Other content
The Services may include hyperlinks or other digital access to web sites or content or resources. riinu may have no control over any web sites or resources which are provided by companies or persons other than riinu.

You acknowledge and agree that riinu is not responsible for the availability of any such external sites or resources, and may not endorse any advertising, products or other materials on or available from such web sites or resources.

You acknowledge and agree that riinu is not liable for any loss or damage which may be incurred by you as a result of the availability of those external sites or resources, or as a result of any reliance placed by you on the completeness, accuracy or existence of any advertising, products or other materials on, or available from, such web sites or resources.

Changes to the Terms
riinu may make changes to the Terms and to Service from time to time. When changes are made, riinu will make a new copy of the Revised Terms available at riinu.com with a revision date. They will be effective the date of posting/revision.

You agree that if you use the Services after the date on which the Revised Terms have changed, riinu will treat your use as acceptance of the Revised Terms.

Disputes
All efforts will be used in an attempt to satisfactorily resolve issues or disputes through good communications, arbitration, and as a final action through the courts. You will resolve any claim, cause of action or dispute ("claim") you have with us arising out of or relating to this Statement or riinu exclusively in a state or federal court located in Maricopa County, Arizona, United States of America.

The laws of the State of Arizona will govern this Statement, as well as any claim that might arise between you and riinu, without regard to conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located in Maricopa County, Arizona for the purpose of litigating all such claims.

If anyone brings a claim against us related to your actions, content or information on riinu, you will indemnify and hold us harmless from and against all damages, losses, and expenses of any kind (including reasonable legal fees and costs) related to such claim.

You are solely responsible for your interactions with other riinu Members. riinu reserves the right, but has no obligation, to monitor disputes between you and other Members.

Disclaimers
riinu is not responsible for any incorrect or inaccurate content posted on the Website or in connection with the Service provided, whether caused by users of the Website, Members, Outside Sources, or by any of the equipment or programming associated with or utilized in the Service.

riinu is not responsible for the conduct, whether online or offline, of any user of the Website or Member of the Service. riinu assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any user or Member communication.

riinu is not responsible for; any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email or electronic players due to technical problems or traffic congestion on the Internet or at any Website or combination thereof, including any injury or damage to users and/or Members or to any person's computer related to or resulting from participation or downloading materials in connection with the Website and/or in connection with the Service.

Under no circumstances shall riinu be responsible for any loss or damage, including personal injury or death, resulting from use of the Website or the Service or from any Content posted on the Website or transmitted to Members, or any interactions between users of the Website, whether online or offline.
The Website and the Service are provided "AS-IS" and riinu expressly disclaims any warranty of fitness for a particular purpose or non-infringement. riinu cannot guarantee and does not promise any specific results from use of the Website and/or the Service.
